Terms of License & Purchase Agreement

1. B2B Commercial Status Warranty & Merchant of Record

B2B Warranty: By purchasing SoloTreasury™, you explicitly warrant and represent that you are acting in the course of your trade, business, craft, freelance practice, or profession (B2B). SoloTreasury™ is a commercial treasury and pre-accounting productivity system designed exclusively for independent economic operators.

Merchant of Record: Your financial transaction and purchase agreement are executed directly with our Merchant of Record, Lemon Squeezy, LLC, subject to their Terms of Sale. Lemon Squeezy acts as the legal reseller and Merchant of Record for sales tax and EU VAT compliance (MOSS / OSS scheme), issuing compliant VAT invoices directly to the purchaser.

Upon a successful transaction verified by our Merchant of Record, Aspecterra Limited grants you this End User License Agreement (EULA) to access, customize, and operate SoloTreasury™ under the terms specified below.

2. Lifetime Commercial License Grant (EULA)

Upon payment of the €49 one-time license fee, Aspecterra Limited grants you a perpetual, non-exclusive, worldwide commercial license to use, customize, and operate the spreadsheet workbooks for your own personal freelance business, sole proprietorship, or single-member limited company.

Permitted Usage:

• Using the spreadsheet to track your own client invoicing, revenue, expenses, and tax reserves across multiple currencies.
• Customizing sheets, adding custom tabs, or adapting categories to your specific business needs.
• Exporting reconciled files and reports to share directly with your certified tax accountant, bookkeeper, or business partner.

Restrictions:

• You may not resell, sub-license, rent, distribute, or publicly share the raw spreadsheet templates or copy links.
• You may not white-label or re-bundle SoloTreasury as a competing commercial product.
• You may not remove proprietary notices or trademarks (SoloTreasury™, Net Spendable™).

3. Third-Party Infrastructure & API Dependency Exemption

SoloTreasury relies upon third-party platforms and data feeds, including Google Workspace (Google Sheets, Google Drive, Google Apps Script) and the official European Central Bank (ECB) XML foreign exchange reference feeds.

Aspecterra Limited does not own, operate, or control these third-party platforms. Aspecterra Limited is not liable, nor are refunds guaranteed, in the event that Google modifies its API policies, restricts Apps Script permissions, introduces fees, or if the European Central Bank alters, restricts, or discontinues its public XML currency feed.

4. 30-Day Unconditional Money-Back Guarantee

We want you to be 100% confident in your financial treasury setup. If you find that SoloTreasury does not fit your workflow or bring clarity to your freelance finances, you are entitled to a full refund within 30 calendar days of purchase.

To request a refund, simply email support@solotreasury.com with your order number. Refunds are processed promptly through our Merchant of Record (Lemon Squeezy).

5. Limitation of Liability & Monetary Liability Cap (€49)

SoloTreasury is provided "as is" without warranty of any kind, express or implied. Under § 5 StBerG (German Tax Advisory Act) and Pan-EU equivalents, SoloTreasury is a personal liquidity and pre-accounting tool, not certified tax or legal counsel. Under no circumstances shall Aspecterra Limited, its directors, or contributors be held liable for any statutory penalties, late filing fees, interest charges, or financial damages arising from the use or inability to use the software.

6. Governing Law, Jurisdiction & EU Dispute Resolution (ODR)

This Agreement shall be governed by and construed in accordance with the laws of [Country of Incorporation, e.g., Cyprus / United Kingdom / Ireland], without regard to conflicts of law principles. The competent courts of [City, Country, e.g., Nicosia, Cyprus / London, UK] shall have exclusive jurisdiction over any disputes.
